Representative Transactions

  • Closed a complex $174,000,000 loan transaction for joint venture development team and institutional equity partner in September 2008 while the US banking industry was in the midst of turmoil and uncertainty.  The financing is enabling the developer to construct a mixed-use town center in Prince George’s County, Maryland.  Our attorneys helped identify solutions to address lender concerns while maintaining borrower protections.  We negotiated various joint venture agreements and complex operating agreements within this transaction to document the obligations of each developer and institutional equity partner.
  • Negotiated sophisticated development agreements between developer clients and Washington Metropolitan Area Transit Authority and the Maryland Department of Transportation for transit-oriented mixed-use development projects
  • Acquisition and redevelopment of a 350,000 square foot vertical mall in downtown Silver Spring, Maryland including Marshalls, Burlington Coat Factory and Gold’s Gym
  • Acquisition and redevelopment of a $7,000,000 office building in Annapolis, Maryland
  • Redevelopment of a regional mall in Baltimore, Maryland into a 500,000 square foot power retail center including Sam’s Club, Wal-Mart, Home Depot, Petco and Office Depot

Representative Transactions for Leasing and Sales

Mulrenin & Associates provides complete legal services for leasing and sales of retail and office sites, including preparation of form office, in-line and pad leases, negotiation of anchor tenant leases, negotiation of sales agreements of both fee interest and condo estates, preparation of unilateral and multi-party reciprocal easement agreements and administration of exclusives, permitted uses, prohibited uses and similar overlapping interests. Our attorneys routinely represent developers in the negotiation of multiple tenant leases for an entire project simultaneously to maintain consistency and oversee lender-required thresholds.  A list of recently negotiated leases and purchase agreements is attached as Schedule A.

  • City Vista – Retail leasing within urban mixed use project in Washington, DC including 115,000 square feet of retail space, anchored by Safeway Stores, and 685 residential units
  • Woodmore Towne Centre – Primary development and leasing counsel for a 245 acre mixed use project in Prince George’s County, Maryland including Costco, Wegmans, and Best Buy totaling 800,000 square feet of retail, 1,000,000 square feet of office space, two hotels and single-family, townhouse and hi-rise residential units
  • Vista Gardens – Leasing counsel for 418,000 square foot center in Lanham, Maryland anchored by Home Depot, Target and Shoppers Food Warehouse
  • 1919 West Street, Annapolis, MD – Acquisition and redevelopment of $7,000,000 office building
  • Centre at Laurel – Development of 160,000 square foot supermarket anchored shopping center in Laurel, Maryland and subsequent sale of project to a national REIT
  • City Place Mall – Acquisition and redevelopment of 350,000 square foot vertical mall in downtown Silver Spring, Maryland including Marshalls, Burlington Coat Factory and Gold’s Gym
  • Centre at Golden Ring – Redevelopment of Golden Ring Mall in Baltimore, Maryland into a 500,000 square foot power retail center including Sam’s Club, Wal-Mart, Home Depot, Petco and Office Depot
  • Centre at Forestville – Acquisition and redevelopment of a former K-Mart and interior mall into a Target anchored mall
  • Centre at Glen Burnie – Acquisition and redevelopment of a former Montgomery Ward anchored mall into a Target anchored mall with Best Buy, Toys R Us and Dick’s Sporting Goods
  • Chambersburg Crossing – Leasing counsel for 382,000 square foot retail center in Chambersburg, Pennsylvania including Target, Kohl’s, Giant, Michaels and PetsMart
  • Village Point – Leasing counsel for 526,000 square foot upscale lifestyle center in Omaha, Nebraska
  • Fulton Ranch Towne Center – Leasing counsel for 350,000 square foot retail shopping center. Set on 41 acres, Fulton Ranch Towne Center is anchored by Lowes, Staples, Ross Dress for Less and Petco and includes restaurants, shops and services in Chandler, Arizona. Fulton Ranch Towne Center is part of Fulton Ranch, a 520-acre, lake-based lifestyle village in Chandler, Arizona
  • Old Town Plaza – Lead counsel for a mixed-use project located in Fairfax, Virginia that includes 53,000 square feet of retail shops and restaurants, 91,000 square feet of Class A office space, and a 558 space structured parking garage
